SHIELD PROTECTION MEMBERSHIP PLAN TERMS & CONDITIONS
Effective Date: June 1, 2026
These Terms and Conditions (“Agreement”) govern participation in the Shield Protection Membership Program (“Membership Program”) offered by Wired Electrical & Generators (“Wired Electrical & Generators,” “Company,” “we,” “our,” or “us”). Enrollment in any Shield Protection Membership Plan constitutes acceptance of this Agreement by the Customer (“Customer,” “Member,” or “you”).
1. MEMBERSHIP PROGRAM
The Shield Protection Membership Program is a preventative maintenance and monitoring program intended to assist in maintaining the operational readiness and reliability of qualifying standby generator systems.
Membership benefits vary by membership level, generator type, generator size, operating conditions, and service location. Membership benefits are available only while the account remains active, current, and in good standing.
Membership Plans are maintenance agreements only and are not insurance policies, equipment warranties, performance guarantees, repair contracts, or replacement agreements.
2. REMOTE MONITORING SERVICES
All Membership Plans include 24/7 remote monitoring services.
Remote monitoring allows the generator system to transmit status updates, notifications, operational alerts, maintenance reminders, and fault conditions to both the Customer and Wired Electrical & Generators when communication systems are functioning properly.
Customer acknowledges and agrees that remote monitoring:

Customer acknowledges and agrees that remote monitoring:
- Does not guarantee uninterrupted generator operation.
- Does not guarantee prevention of equipment failure.
- Does not guarantee immediate notification.
- Does not guarantee immediate dispatch of service personnel.
- Does not replace manufacturer-recommended maintenance.
- Does not replace Customer responsibility for ownership and operation of the equipment.
- Requires a functioning internet connection, cellular connection, monitoring device, and manufacturer communication platform.
Wired Electrical & Generators shall not be responsible for communication failures, cellular outages, internet interruptions, software failures, monitoring platform interruptions, utility interruptions, manufacturer system failures, or any circumstances beyond its reasonable control.
3. MAINTENANCE SERVICES
Maintenance services shall be performed in accordance with manufacturer recommendations, industry standards, and Company service procedures.

- Oil changes
- Oil filter replacement
- Air filter replacement
- Spark plug replacement
- Battery inspection
- Transfer switch inspection
- Operational testing
- Load testing
- Diagnostic evaluations
- Exercise cycle verification
- Software and firmware updates when available
- Visual inspection of system components
Specific maintenance requirements vary by manufacturer, generator model, generator size, operating hours, environmental conditions, fuel type, age of equipment, and site conditions.
Wired Electrical & Generators reserves the right to determine appropriate maintenance schedules.
4. UNLIMITED MAINTENANCE DEFINITION (PLATINUM PLAN)
Notwithstanding any marketing materials, promotional language, advertisements, website content, sales presentations, or verbal representations, references to “Unlimited Maintenance” shall mean maintenance services reasonably required under manufacturer-recommended maintenance schedules and Company service guidelines.
Unlimited Maintenance shall not mean unlimited:

4. UNLIMITED MAINTENANCE DEFINITION (PLATINUM PLAN)
Notwithstanding any marketing materials, promotional language, advertisements, website content, sales presentations, or verbal representations, references to “Unlimited Maintenance” shall mean maintenance services reasonably required under manufacturer-recommended maintenance schedules and Company service guidelines.
Unlimited Maintenance shall not mean unlimited:
- Service calls
- Site visits
- Emergency dispatches
- Troubleshooting visits
- Customer-requested inspections
- Generator checkups
- Diagnostic visits
- Repair services
- Warranty services
- Operational consultations
Under normal residential operating conditions, most standby generators require one (1) to two (2) maintenance visits annually.
As part of the Company’s Fair Use Policy, Platinum Memberships may be limited to three (3) preventative maintenance visits during any rolling twelve (12) month period unless additional maintenance is deemed necessary by Wired Electrical & Generators in its sole discretion.
Wired Electrical & Generators reserves the exclusive right to determine whether a requested visit qualifies as maintenance under this Agreement.
5. FAIR USE POLICY
Membership Plans are intended for normal residential generator ownership and operation.
Membership benefits shall not be used as an unlimited dispatch service, on-demand inspection program, or unlimited service agreement.
Wired Electrical & Generators reserves the right to determine whether a service request constitutes:

- Consultation
- Inspection
- Non-covered work
Excessive service requests, repeated monitoring inquiries, repeated dispatch requests, abuse of Membership benefits, or unreasonable use of services may result in additional charges, suspension of benefits, or termination of Membership.
All determinations made by Wired Electrical & Generators regarding Membership usage shall be final.

Unless specifically stated otherwise in the Member’s selected plan, the following are excluded from Membership coverage:

- Generator repairs
- Warranty administration by third parties
- Generator replacement
- Transfer switch replacement
- Electrical panel replacement
- Utility service issues
- Fuel system repairs
- Fuel supply issues
- Fuel contamination
- Battery replacement
- Customer-requested inspections
- Customer-requested site visits
- Crane services
- Permits
- Engineering services
- Rental equipment
- Travel outside normal service areas
- Damage caused by neglect
- Damage caused by improper operation
- Damage caused by unauthorized modifications
Additional charges may apply for excluded services.
7. PARTS, MATERIALS & CONSUMABLES
Covered maintenance services may include routine maintenance consumables such as:

- Filters
- Spark plugs
- Standard maintenance materials
The following may be billed separately unless covered by an applicable manufacturer warranty:
- Batteries
- Controllers
- Sensors
- Starters
- Transfer switch components
- Fuel system components
- Engine components
- Alternators
- Wiring repairs
- Circuit boards
- Major replacement parts
8. STORM PRIORITY SERVICE
Platinum Members receive priority scheduling status during severe weather events and widespread power outages.
Priority status means Platinum Members will generally receive scheduling preference over non-members.
Priority scheduling does not guarantee:

- Immediate dispatch
- Guaranteed appointment availability
- Restoration of generator operation
Service remains subject to technician availability, weather conditions, road access, safety conditions, parts availability, and emergency demand.
9. 48-HOUR SERVICE GUARANTEE
The 48-Hour Service Guarantee applies only to qualifying maintenance-related service requests submitted during normal business operations.

- Hurricanes
- Tropical storms
- Flooding
- Natural disasters
- Regional emergencies
- Major utility outages
- Force majeure events
- Labor shortages
- Supply chain disruptions
- Parts backorders
- Circumstances beyond Company control
10. CUSTOMER RESPONSIBILITIES
Customer remains solely responsible for:

- Monitoring fuel levels
- Maintaining fuel quality
- Maintaining utility service
- Reporting alarms or unusual operation
- Protecting equipment from environmental hazards
- Maintaining access to equipment
- Following manufacturer operating procedures
Membership services do not transfer operational responsibility from Customer to Wired Electrical & Generators.
11. BILLING & PAYMENT
Membership fees shall be automatically charged to the payment method maintained on file.
Payments are processed between the 1st and 5th day of each month.
Failure to maintain valid payment information may result in immediate suspension or termination of Membership benefits.
Returned payments, chargebacks, payment disputes, or failed transactions may be subject to additional fees.
12. TERM, RENEWAL & PRICE ADJUSTMENTS
Membership Plans require an initial twelve (12) month commitment.
Upon completion of the initial term, Membership shall automatically renew on a month-to-month basis unless canceled by either party.
Wired Electrical & Generators reserves the right to modify:

13. CANCELLATION
Either party may terminate Membership by providing thirty (30) days written notice.
If Membership is canceled before completion of the initial twelve (12) month term, Wired Electrical & Generators reserves the right to recover the value of any discounted services, maintenance visits, inspections, labor, monitoring equipment, or Membership benefits previously provided.
Outstanding balances shall remain due and payable upon termination.
14. HOME SALE & TRANSFER
Customer agrees to provide at least thirty (30) days written notice upon sale of the property where covered equipment is installed.
Membership transfer may be approved at the sole discretion of Wired Electrical & Generators.
Remote monitoring equipment remains the property of Wired Electrical & Generators unless otherwise stated in writing.
The Company reserves the right to remove, disable, recover, or deactivate monitoring equipment upon cancellation, default, termination, or non-payment.
15. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Wired Electrical & Generators shall not be liable for:

To the fullest extent permitted by law, Wired Electrical & Generators shall not be liable for:
- Loss of electrical service
- Generator failure
- Food spoilage
- Water damage
- Property damage
- Business interruption
- Lost revenue
- Lost profits
- Consequential damages
- Special damages
- Incidental damages
- Indirect damages
Customer acknowledges that all mechanical and electrical equipment is subject to failure and that no maintenance program can guarantee uninterrupted operation.
16. FORCE MAJEURE
Wired Electrical & Generators shall not be liable for delays or failure to perform services resulting from severe weather, hurricanes, tropical storms, flooding, fires, utility failures, labor shortages, pandemics, governmental actions, supply chain disruptions, acts of God, or other circumstances beyond its reasonable control.
17. RIGHT TO REFUSE SERVICE
Wired Electrical & Generators reserves the right to refuse service, suspend benefits, or terminate Membership for:

Wired Electrical & Generators reserves the right to refuse service, suspend benefits, or terminate Membership for:
- Non-payment
- Unsafe site conditions
- Unauthorized modifications
- Equipment installed by others that fails inspection
- Membership abuse
- Excessive service requests
- Harassment or abusive conduct
- Fraudulent claims
- Violation of this Agreement
18. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties regarding the Shield Protection Membership Program and supersedes all prior discussions, proposals, marketing materials, or representations.
In the event of a conflict between marketing materials and this Agreement, this Agreement shall govern.
